THESE TERMS APPLY TO ALL INSTRUCTIONS UNLESS EXPRESSLY VARIED IN WRITING

1. DEFINITIONS
"RAFFAUT®" means PX Finance Ltd trading as RAFFAUT® Marine Surveys.
"Client" means the party that submitted the survey enquiry and accepted these Terms.
"Instruction" means the marine or cargo survey commissioned by the Client.
"Report" means the written survey report prepared by RAFFAUT® in respect of the Instruction.
2. CONTRACT FORMATION
A binding contract is formed when: (a) the Client has submitted a completed survey enquiry; (b) RAFFAUT® has issued a quotation which the Client has accepted; (c) this Contract has been countersigned by the Client's authorised signatory; and (d) for advance and deposit clients, required payment has been confirmed. Survey commencement is conditional on all four conditions being satisfied.
3. AUTHORITY TO INSTRUCT
The Client warrants it has full legal authority to instruct RAFFAUT® and that instructions are issued by duly authorised persons. RAFFAUT® requires two named authorised persons per instruction in accordance with London market practice and FCA guidance.
4. SCOPE OF SERVICES
RAFFAUT® undertakes to provide the survey services described in the Scope of Work (Annex 2). The survey will be conducted in accordance with the professional standards of the applicable professional standards and Governing Regulations.
5. PROFESSIONAL STANDARD
(a) RAFFAUT® shall exercise reasonable care and skill under the Supply of Goods and Services Act 1982, section 13.
(b) RAFFAUT® maintains professional indemnity insurance appropriate for the instruction. PI policy details available on written request.
(c) Survey reports reflect the professional opinion of the surveyor based on conditions observed at time of attendance. Reports are not warranties or guarantees of condition.
6. LIABILITY AND LIMITATION
(a) RAFFAUT®'s aggregate liability for all claims from any single Instruction shall not exceed the lesser of: (i) ten times the total charges invoiced; or (ii) the limit of RAFFAUT®'s professional indemnity insurance in force at the time.
(b) RAFFAUT® shall not be liable for any consequential, indirect, special or economic loss including loss of profit, loss of contract or loss of revenue.
(c) Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.
(d) RAFFAUT® is not liable for loss caused by: circumstances beyond its reasonable control; inaccurate or incomplete information provided by the Client; or acts of third parties.
7. FEES AND CHARGES
(a) All fees are set out in the quotation (Annex 2 — Scope of Work and Fee Schedule).
(b) Normal working hours: Monday to Friday 08:00–18:00. Out-of-hours (1.5×): Monday to Friday 18:00–22:00 and weekend daytime. Night rate (2×): 22:00–06:00 any day.
(c) Minimum four (4) hours chargeable per survey day regardless of actual attendance.
(d) A fixed attendance fee is charged on every instruction covering mobilisation, administration, insurance and overhead.
(e) All reasonable disbursements charged at cost: transport, accommodation, port dues, communication and other out-of-pocket expenses properly incurred.
8. OVERSEAS ATTENDANCE — TRAVEL TIME AND EXPENSES
(a) For international instructions, all travel time is chargeable as working time: travel to departure airport; check-in and security; full flight duration (wheels-up to wheels-down); all layover time; travel from arrival airport to survey location and return.
(b) All reasonable travel disbursements (economy airfare, hotel, transfers, visa fees, inoculations, international daily allowance) are chargeable at receipted cost.
(c) Business class airfare pre-approved for flights exceeding six (6) hours.
(d) This clause reflects standard London marine market practice accepted by Lloyd's underwriters, P&I Clubs and average adjusters.
9. PAYMENT TERMS
(a) ACCOUNT (30-day): Invoice issued on report delivery. Payment due 30 days from invoice date.
(b) ADVANCE: 100% payment before survey. Stripe link issued with quotation. Survey only proceeds on Stripe webhook confirmation.
(c) DEPOSIT: Invoice A (50%) before survey. Invoice B (50%) before report release.
(d) Interest on overdue invoices at 8% p.a. above Bank of England base rate (Late Payment of Commercial Debts Act 1998).
(e) RAFFAUT® reserves the right to withhold all Reports until all invoices are paid in full.
(f) Payment by Stripe card, BACS, CHAPS or SWIFT accepted.
10. REPORT DELIVERY AND OWNERSHIP
(a) The Report remains RAFFAUT®'s intellectual property until all charges are paid.
(b) On payment, RAFFAUT® grants a perpetual non-exclusive licence to use the Report for the purposes described in the Instruction.
(c) The Report is for the exclusive use of the Client and may not be disclosed to third parties without RAFFAUT®'s prior written consent, except as required by law.
(d) RAFFAUT® retains all reports for a minimum of seven (7) years.
11. TIME BAR
Any claim against RAFFAUT® must be notified in writing within twelve (12) months of the date on which the final Report was delivered. After this period all claims are time-barred.
12. GOVERNING LAW AND JURISDICTION
These Terms and any dispute arising from an Instruction are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
13. CONFIDENTIALITY
Both parties agree to keep confidential all information disclosed by the other party, except: (a) information in the public domain; (b) information required by law or court order to be disclosed; (c) information disclosed with consent.
14. GDPR AND DATA PROTECTION
RAFFAUT® processes personal data under UK GDPR and the Data Protection Act 2018. Personal data is retained for seven years under a legitimate interest basis. Privacy Policy available at raffautmarinesurveying.com/privacy-policy.
15. ANTI-BRIBERY AND CORRUPTION
Both parties comply with the Bribery Act 2010. Neither party will offer, promise or give any financial or other advantage to induce improper performance of a function.
16. AUTHORISED PERSONS (CONDITION PRECEDENT)
The Client must name at least two (2) authorised persons on the survey enquiry form. No instruction, variation, cancellation or change of scope is valid unless given by a named person in writing. This is a condition precedent to RAFFAUT®'s obligations.
17. CANCELLATION
Client cancellation: Fixed attendance fee and all costs incurred (travel, visas, accommodation) payable in full. If cancelled <24 hours before survey, minimum 4-hour fee also charged.
RAFFAUT® cancellation: If force majeure prevents attendance, all fees paid will be refunded in full.
18. INDEMNITY
The Client indemnifies RAFFAUT® against all claims arising from: (a) inaccurate or incomplete information; (b) the Client's acts or omissions; (c) breach of any obligation under this Contract.
19. ENTIRE AGREEMENT
This Contract (comprising the survey enquiry, these Terms, the Quotation / Fee Schedule, the Scope of Work, the Letter of Authority and the Booking Confirmation) is the entire agreement and supersedes all prior representations. No variation is effective unless made in writing and signed by both parties.

Combined Transport Document (CTD) / Through Bill of Lading / FIATA FCT
Non-negotiable combined transport document, FIATA Forwarder's Certificate of Transport (FCT), or Through Bill of Lading covering more than one transport mode. Each leg is matched to the correct liability convention (sea: Hague-Visby; air: Montreal; rail: CIM; road: CMR). Critical for unknown mode of damage assessment (B7.8 / G6.3). Letter of Credit (UCP 600) / Bank documentary credit

RAFFAUT® is the trading name of PX FINANCE LTD (Company No. 13416344) ("the Firm").
This agreement governs the engagement of the Associate Surveyor ("the Surveyor") as an independent contractor.
1 — Status
The Surveyor is an independent contractor, not an employee. Nothing in this agreement creates an employment relationship, partnership, or joint venture. The Surveyor is responsible for their own tax and statutory obligations.
2 — Acceptance conditions
The Surveyor must hold one or more of the following: Master Mariner (Unlimited); Chief Engineer (Unlimited); Deck or Engineering Officer (STCW CoC); Naval Architect; Professional Diploma in Marine Surveying ; Lloyd's Maritime Academy Diploma; or equivalent professional qualification recognised by RAFFAUT®. The Surveyor must pass RAFFAUT®'s 8-step approval process, which includes credential verification, reference checks, criminal record screening, and sample report assessment.
3 — Scope of services
The Surveyor may be assigned: hull and machinery surveys; cargo damage and quantity surveys; P&I condition surveys; bunker quantity surveys; pre-purchase and valuation surveys; new build attendance; incident investigations; and evidence collection. Assignments are at the Firm's discretion. No guaranteed minimum assignment volume is implied.
4 — Fee structure and Schedule A
Remuneration is calculated from the Net Survey Fee (gross invoice minus port access charges, travel, laboratory fees, third-party specialist costs, and bank charges). The Firm retains 40%–70% and the Surveyor receives 30%–60% as defined in Schedule A below. The standard retainer for the Firm is 60% — Surveyor 40%. Special rates for urgent, pre-purchase, or specialist assignments are agreed in writing before commencement.
The Firm pays the Surveyor's share within 14 days of receiving payment from the client. The Surveyor may not invoice clients directly unless expressly authorised in writing. All payments are by bank transfer to the Surveyor's nominated account.
7 — Reporting and audit obligations
All draft reports must be submitted to RAFFAUT®'s Principal Surveyor (Jean Raffaut, London) for audit and approval before release to the client. The Surveyor may not release any report, finding, or communication directly to the client without written authorisation. Reports must be factual, neutral, and legally defensible. The Surveyor must not express opinions on liability.
8 — P&I evidence preservation standards
The Surveyor must: preserve all evidence and documentation; take accurate, high-resolution photographs; maintain contemporaneous notes; secure all digital evidence; not alter, conceal, or destroy any evidence; and comply with P&I Club evidence-handling guidelines on every assignment.
9 — Confidentiality
All client information, reports, photographs, and evidence are strictly confidential. The Surveyor shall not disclose any information to any third party without written consent from RAFFAUT®. Confidentiality obligations survive termination of this agreement indefinitely.
10 — Intellectual property
All reports, photographs, notes, and deliverables produced by the Surveyor on RAFFAUT® assignments become the exclusive property of RAFFAUT® (PX Finance Ltd). The Surveyor may not reuse, publish, or reproduce any such material without written permission.
11 — Non-solicitation and client ownership
All clients introduced by RAFFAUT® remain the exclusive property of the Firm. The Surveyor shall not solicit or accept direct work from RAFFAUT® clients during the term of this agreement and for 12 months after termination. Work generated independently by the Surveyor from their own client relationships remains their own property, subject to notification to RAFFAUT® where there is any potential conflict of interest.
12 — Insurance and liability
RAFFAUT® maintains Professional Indemnity (PI) insurance covering the Surveyor's work conducted under this agreement. The Surveyor is liable for losses arising from gross negligence or wilful misconduct. The Firm's PI coverage does not apply to work conducted outside the scope of this agreement.
13 — Termination
Either party may terminate this agreement with 30 days' written notice. Fees for completed and approved assignments remain payable after termination. RAFFAUT® may terminate immediately in cases of gross misconduct, criminal conviction, loss of professional qualification, or breach of confidentiality.
14 — Criminal record and background screening
All associates must provide an Enhanced DBS check (UK) or equivalent criminal record certificate from their country of origin. Sanctions and compliance screening is conducted at onboarding and may be repeated periodically. Any criminal conviction during the term of this agreement must be disclosed immediately.
15 — Governing law
This agreement is governed by the laws of England and Wales. All disputes shall be resolved by arbitration in London under the LCIA Rules, or by the courts of England and Wales at RAFFAUT®'s election.
